They wear out
Explanation:
The components wear over time from oxidation, or DNA degredation or normal stress and damage. They get rickety. You don't want old cells with nicks in the chromosomes to multiply. You don't want membranes with damage. Some things are too big to repair, that is to say the expenditure of energy to maintain them outweighs the energy taken to simply create a new cell.
Another thing is room. Cells need to divide, it's kind of what they do. If they find an area is to crowded, it inhibits the process.
